Terms of Service

Effective April 24, 2026. These Terms govern your use of Intellency's platform, websites, and related services. By accessing the service, you agree to these Terms.

1. The agreement

These Terms form a binding agreement between you (or the organization you represent) and Intellency, Inc. ("Intellency"). If you are accepting on behalf of an organization, you represent that you have authority to bind it to these Terms.

2. Accounts

• You must provide accurate registration information and keep it current.
• You are responsible for activity under your account and for safeguarding authentication factors.
• Notify us promptly of any unauthorized access.

3. Your data

You retain all rights to the data you submit to the service ("Tenant Data"). You grant Intellency a limited license to host, process, and transmit Tenant Data solely to provide and support the service. We will not access Tenant Data except as needed to operate the service, for support you request, for security investigation, or as required by law.

4. Acceptable use

You agree not to:

• violate applicable law or the rights of others;
• upload malware, interfere with the service, or probe it for vulnerabilities without written authorization;
• attempt to reverse-engineer, resell, or sublicense the service except as expressly permitted;
• use the service to send unsolicited communications or to harass, defraud, or impersonate others.

5. Fees and billing

Subscription fees, trial terms, and payment cadence are described in your order form or the applicable plan. Fees are non-refundable except as required by law or as expressly stated. We may change prices on renewal with prior notice.

6. Third-party integrations

The service may integrate with third-party systems that you choose to connect. Your use of those systems is governed by their terms. We are not responsible for the availability or acts of third-party services.

7. Intellectual property

Intellency and its licensors retain all rights in the service, including all software, documentation, branding, and feedback you submit. No rights are granted to you except as expressly set out in these Terms.

8. Confidentiality

Each party will protect the other's non-public information with the same care it uses for its own (at least reasonable care) and will use it only to perform under these Terms. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.

9. Term and termination

These Terms begin when you first access the service and continue until terminated. Either party may terminate for material breach with 30 days' notice if the breach is not cured. We may suspend or terminate immediately for security risk, legal requirement, or unpaid fees. On termination, your access ends and we will make Tenant Data available for export for 30 days before deletion.

10. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW. We do not warrant that the service will be uninterrupted, error-free, or fit for a particular purpose.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. EACH PARTY'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE FOR THE 12 MONTHS BEFORE THE CLAIM AROSE.

12. Indemnification

You will defend and indemnify Intellency against claims arising from your misuse of the service, violation of law, or violation of another party's rights. We will defend you against third-party claims that the service as provided infringes that party's intellectual property rights, subject to reasonable cooperation and the limits in these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration under a separate signed agreement.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated effective date. Continued use of the service after the effective date constitutes acceptance.
